Operating a company in Nepal requires compliance with multiple regulatory bodies — the Office of the Company Registrar (OCR), the Inland Revenue Department (IRD), Nepal Rastra Bank (for foreign-invested companies), and sector-specific regulators. Missing deadlines can result in penalties, restrictions on operations, and complications with future transactions.

This checklist covers the core annual obligations applicable to most private and public limited companies.

Office of the Company Registrar

Annual Return: Due within 6 months of fiscal year-end. Must include updated shareholder register, director details, and registered office confirmation.

Audited Financial Statements: Must be filed with the annual return. Late filing penalty: NPR 10,000 per month.

AGM Minutes: Required to be filed within 30 days of the Annual General Meeting.

Changes in Directors/Shareholders: Must be notified within 15 days of the change.

Inland Revenue Department

Income Tax Return: Due within 3 months of fiscal year-end (Kartik end for companies with Ashadh year-end).

VAT Returns: Monthly filing, due by the 25th of the following month.

TDS Returns: Monthly deposit within 15 days; annual return due with income tax return.

Transfer Pricing Documentation: Must be prepared before the income tax filing deadline for transactions exceeding NPR 10 million.

Nepal Rastra Bank (Foreign-Invested Companies)

Annual Foreign Investment Report: Due within 6 months of fiscal year-end.

Loan Registration Renewal: Annual renewal required for foreign loans.

Profit Repatriation Application: Must be filed with audited financials and tax clearance.

Social Security Fund

Monthly Contributions: Both employer and employee contributions due within the first week of the following month.

Annual Reconciliation: Due with the fiscal year-end filing.
